These Terms of Service ("Terms") govern your access to and use of Refare's website, services, and applications (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.
1. About Refare
Refare ("Refare," "we," "us," or "our") is an AI-powered airfare savings service that helps travelers get money back when flight prices drop after booking. We provide automatic fare monitoring technology that continuously tracks ticket price fluctuations and automatically negotiates with airlines on your behalf to secure refunds.

2. Acceptance of Terms
By creating an account, accessing our website, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Service.
You must be at least 18 years old to use our Service. By using Refare, you represent and warrant that you meet this age requirement.
3. Description of Services
Refare provides the following services:

Automatic Flight Price Monitoring: We continuously track the price of flights you've booked with participating airlines.

Price Drop Detection: Our AI technology identifies when the price of your booked flight decreases.

Automated Airline Negotiation: We automatically negotiate with airlines on your behalf to secure refunds when eligible price drops occur.

Refund Processing: When successful, savings are credited directly to your frequent flyer account with the airline.

Multi-Airline Coverage: We work with major airlines including Alaska Airlines, American Airlines, Delta Air Lines, Emirates, KLM Royal Dutch Airlines, Lufthansa, Spirit Airlines, Southwest Airlines, and United Airlines.
Appointment of Travel Concierge as Authorized Agent: By using the Refare service, you expressly appoint Refare as your third-party authorized agent for the limited purpose of communicating and negotiating with airlines on your behalf regarding airfare savings. You grant Refare and its automated concierge systems the authority to represent you in communications with airline support desks, including the processing of refunds or credits to your account. You acknowledge and agree that when doing so, Refare will use your name, confirmation number, and frequent flyer information to identify itself as your authorized representative.
Our Service is designed to be completely hands-off — you simply forward your flight confirmation emails to us, and we handle everything else.
4. User Accounts and Registration
4.1 Account Creation: To use our Service, you must create an account by providing accurate and complete information, including your name, email address, and frequent flyer account details for participating airlines.
4.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4.3 Account Information: You agree to provide accurate, current, and complete information and to update your information as necessary to keep it accurate and current.
5. How Our Service Works
5.1 Flight Submission: You submit flight bookings to Refare by forwarding your flight confirmation emails to flights@refare.com or by manually entering flight details through our platform.
5.2 Monitoring and Tracking: Once you submit a flight, our AI technology begins monitoring the fare for that specific flight on the airline's booking system.
5.3 Refund Eligibility: Not all flights or fare classes are eligible for price adjustments or refunds.

5.4 Refund Processing: When we successfully negotiate a refund:

Processing times vary by airline and typically range from 24 hours to several weeks

We do not control the timing or method of airline refund processing
5.5 How We Interact with Airlines: When negotiating with airlines on your behalf, Refare's automated systems and agents will use your name, confirmation number, and frequent flyer information to identify themselves as your authorized representative. You understand and acknowledge that Refare will present itself to the airline as acting on your behalf under the authority you have granted in Section 3. We do not misrepresent our identity — we clearly communicate that we are a third-party concierge acting for the traveler. Refare's role is functionally equivalent to a travel agent or corporate travel desk rebooking on behalf of a client.
6. Eligibility and Exclusions
Our services are only available for bookings paid for in cash or by credit card. We do not support, and explicitly exclude from eligibility, any bookings made partially or fully with frequent flyer miles, reward points, airline vouchers, or travel credits.
7. Service Limitations and Disclaimers
7.1 No Guarantee of Refunds: While we work diligently to identify and secure refunds, Refare does not and cannot guarantee:

That any specific flight will be eligible for a refund

That airlines will approve refund requests

Any specific amount of savings
7.2 Airline Partnerships: Our partnerships with airlines are subject to change. We may add or remove airline partners at any time without prior notice.
7.3 Service Availability: We strive to maintain continuous Service availability but do not guarantee uninterrupted access. We may suspend or discontinue any part of the Service at any time for maintenance, updates, or other reasons.
7.4 Third-Party Reliance: Our Service depends on information, systems, and policies of third-party airlines. We are not responsible for:

8. Fees and Payment
8.1 No Credit Card Required: You can create an account and begin using Refare's monitoring services without providing credit card information.
8.2 Service Fees: When we successfully secure a refund on your behalf, we retain a percentage of the savings as our service fee. The specific fee percentage will be clearly disclosed to you before you submit any flight for monitoring.
8.3 Fee Collection: Our service fee is automatically deducted from the refund amount before the remaining savings are credited to your frequent flyer account.
8.4 No Refunds on Service Fees: Service fees paid to Refare for successfully processed refunds are non-refundable.
9. User Responsibilities and Prohibited Conduct
You agree to:

Maintain valid frequent flyer accounts with participating airlines

Comply with all applicable laws and regulations

Not use the Service for any illegal or unauthorized purpose

Not interfere with or disrupt the Service or servers or networks connected to the Service

Not attempt to gain unauthorized access to any portion of the Service

Not use automated systems or software to extract data from the Service (screen scraping, data mining, etc.)

Not impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
The prohibition on impersonation or misrepresentation set forth above does not apply to Refare's authorized activities on your behalf as described in Section 3, where Refare is expressly authorized to communicate with airlines using your itinerary and account information for the limited purpose of securing airfare savings.
10. Intellectual Property
10.1 Refare's Property: The Service and its original content, features, and functionality are owned by Refare and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
10.2 Trademarks: Refare, the Refare logo, and other marks used by us are trademarks or registered trademarks of Refare. You may not use these marks without our prior written permission.
10.3 Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.
11. Privacy and Data
Your use of our Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to our collection, use, and disclosure of your information as described in our Privacy Policy.
We take data security seriously and implement reasonable measures to protect your information. However, no system is completely secure, and we cannot guarantee the absolute security of your data.
12. Communications
12.1 Electronic Communications: By using our Service, you consent to receive electronic communications from us, including emails about your account, refunds, and Service updates. These communications are part of your relationship with us.
12.2 Opt-Out: You may opt out of promotional emails by following the unsubscribe instructions in those emails, but you cannot opt out of Service-related communications (e.g., account verification, refund notifications, changes to Terms).
SMS Terms and Conditions
By providing your phone number and opting in to receive SMS messages from Refare, you agree to the following terms:

Program Description: Refare sends SMS messages to facilitate airfare price monitoring, negotiation updates, and account alerts.

Message Frequency: Message frequency varies based on your travel activity and price fluctuations.

Message and Data Rates: Standard message and data rates may apply from your wireless carrier.

Opt-Out: You can cancel the SMS service at any time. Just text "STOP" to the number from which you received the message. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

Carrier Liability: Carriers are not liable for delayed or undelivered messages.

Privacy: Your mobile information will not be shared with third parties/affiliates for marketing or promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
REFARE DOES NOT WARRANT THAT:

The Service will meet your requirements or expectations

The Service will be uninterrupted, timely, secure, or error-free

Any refunds will be obtained for your flights

Any errors in the Service will be corrected

The Service or servers are free of viruses or harmful components
Your use of the Service is at your sole risk. Any material downloaded or obtained through the Service is accessed at your own discretion and risk.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFARE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of or inability to access or use the Service

Any conduct or content of any third party on the Service

Any content obtained from the Service

Unauthorized access, use, or alteration of your transmissions or content

Statements or conduct of any third party on the Service

Airlines' refusal to process refunds

Any other matter relating to the Service
IN NO EVENT SHALL REFARE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO REFARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.
15. Indemnification
You agree to indemnify, defend, and hold harmless Refare, its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

16. Termination
16.1 Termination by You: You may terminate your account at any time by contacting us at legal@refare.com or through your account settings.
16.2 Termination by Refare: We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to:

16.3 Effect of Termination: Upon termination:

Your right to use the Service will immediately cease

We may delete your account and information

Any pending refunds being processed will continue to be processed

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability
17. Dispute Resolution
17.1 Informal Resolution: If you have any dispute with us, you agree to first contact us at legal@refare.com and attempt to resolve the dispute informally for at least thirty (30) days before initiating any formal proceedings.
17.2 Binding Arbitration: If we cannot resolve a dispute informally, you and Refare agree that any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration, rather than in court, except that either party may bring a claim in small claims court if it qualifies.
The arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in San Francisco, California, unless both parties agree to a different location.
17.3 Class Action Waiver: YOU AND REFARE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
17.4 Exceptions: Either party may bring a lawsuit in court solely for injunctive relief to stop unauthorized use or abuse of the Service or infringement of intellectual property rights without first engaging in arbitration.
18. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Any legal action or proceeding (other than arbitration as described above) arising under these Terms will be brought exclusively in the federal or state courts located in San Francisco County, California, and you irrevocably consent to the jurisdiction of such courts.
19. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

20.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Refare regarding the Service and supersede all prior agreements and understandings.
20.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
20.3 Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Refare's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
20.4 Assignment: You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice or consent.
20.5 Force Majeure: Refare shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
20.6 Relationship of Parties: By using the Service, you establish an agency relationship with Refare for the limited purposes described in Section 3. Nothing in these Terms creates a partnership, joint venture, or employment relationship between you and Refare.
20.7 Third-Party Beneficiaries: These Terms are for the benefit of and may be enforced by Refare and its affiliates only. No third party (including any airline) is an intended beneficiary of these Terms.
